Welcome to Vidyaa! These Terms of Use ("Terms") govern your access to and use of Vidyaa's products and services, including Vidyaa AI (accessible at vidyaa.com) and English Mastery by Vidyaa (accessible at learn.vidyaa.com), together with any related websites, applications, or APIs (collectively, the "Service" or "Services"). By accessing or using any part of the Service, you agree to be bound by these Terms. If you do not agree, you may not use the Service.

1. Acceptance of Terms

1.1. These Terms apply to all Vidyaa products, including but not limited to Vidyaa AI and English Mastery by Vidyaa, and any future products or app extensions we launch under the Vidyaa brand (each a "Product," collectively the "Products").

1.2. By using any Product, you confirm that you are at least 18 years of age, or that you have obtained the consent of a parent or legal guardian to use the Service.

1.3. Vidyaa reserves the right to modify these Terms at any time. Changes take effect upon posting to the relevant website. Continued use of any Product after changes are posted constitutes your acceptance of the updated Terms.

1.4. Where a specific Product has additional or supplemental terms (for example, exam-readiness disclaimers for English Mastery by Vidyaa), those supplemental terms will be presented within that Product and form part of these Terms for users of that Product.

2. Our Products

2.1. Vidyaa AI (vidyaa.com) is an AI-powered learning platform offering AI-assisted tools, content, and credit-based features.

2.2. English Mastery by Vidyaa (learn.vidyaa.com) is an English-proficiency assessment and learning platform that measures reading, reasoning, vocabulary, and communication skills, and provides a personalized English Intelligence (EIQ) Score, exam-readiness analytics (e.g. for SAT, IELTS, TOEFL, GRE), and related learning content.

2.3. We may add, modify, suspend, or discontinue any Product or feature at any time. Where reasonably possible, we will provide advance notice of material changes affecting paid features.

2.4. References to "the Service" in these Terms apply equally to all current and future Vidyaa Products unless stated otherwise.

3. Use of the Service

3.1. The Service is provided on an "as-is" and "as-available" basis. Vidyaa makes no warranties or guarantees regarding the accuracy, reliability, or suitability of the Service for your needs, including the accuracy of any AI-generated content, assessment scores (including EIQ Scores), or exam-readiness predictions.

3.2. Assessment results, scores, and predictive analytics (including those provided by English Mastery by Vidyaa) are indicative and for informational and educational purposes only. They do not guarantee performance on any third-party standardized test (including SAT, IELTS, TOEFL, or GRE) or any other outcome.

3.3. You are granted a limited, non-exclusive, non-transferable license to access and use the Service for personal or business purposes, subject to these Terms.

3.4. You agree not to:

Use the Service for any illegal, unethical, or unauthorized purpose.

Attempt to reverse-engineer, duplicate, modify, or disrupt the Service or any underlying algorithm or model.

Abuse the system by submitting inappropriate, malicious, or excessive requests that could degrade or harm the performance of the Service.

Share, sell, or misrepresent assessment results, scores, or certificates obtained through the Service as those of another person.

Upload, transmit, or distribute content that violates applicable laws or infringes on the rights of others.

4. Accounts and Security

4.1. To access certain features of the Service — including features on both vidyaa.com and learn.vidyaa.com — you may need to create an account. You are responsible for maintaining the confidentiality of your account credentials.

4.2. A single Vidyaa account may give you access to multiple Products; however, some Products may require separate registration, verification, or subscription.

4.3. You agree to notify Vidyaa immediately of any unauthorized use of your account or any security breach.

4.4. Vidyaa is not liable for any loss or damage arising from your failure to secure your account.

5. Subscriptions, Credits, and Payments

5.1. Users may purchase AI credits, subscriptions, one-time assessments, or other paid features to access specific functionality across our Products (for example, AI credits on Vidyaa AI, or assessment/report access on English Mastery by Vidyaa).

5.2. All purchases are subject to our Refund Policy, available at vidyaa.com/refund, which forms part of these Terms.

5.3. Prices, currencies, and payment terms are subject to change at Vidyaa's discretion. We will provide reasonable notice of pricing changes affecting active subscriptions.

5.4. Subscriptions, where offered, will automatically renew at the end of each billing cycle unless cancelled prior to renewal, in accordance with the terms presented at checkout.

5.5. Payments may be processed by Vidyaa directly or through a third-party payment processor or merchant of record. Where a third party acts as merchant of record, their applicable buyer terms and refund procedures will also apply, in addition to (and not in place of) our Refund Policy, except to the extent of any conflict, in which case the higher level of consumer protection will apply.

5.6. Unauthorized or fraudulent payment activity may result in suspension or termination of your account and forfeiture of related credits or access, subject to applicable law.

6. Intellectual Property

6.1. All content, software, assessment methodologies, scoring models, designs, and trademarks provided by Vidyaa across all Products — including Vidyaa AI and English Mastery by Vidyaa — are the intellectual property of Vidyaa or its licensors.

6.2. You may not reproduce, distribute, create derivative works from, or otherwise exploit any part of the Service, including assessment content or reports, without our prior written consent.

6.3. You retain ownership of any original content you submit to the Service. By submitting content, you grant Vidyaa a worldwide, non-exclusive, royalty-free license to use, host, and process that content solely to provide and improve the Service.

7. Termination and Suspension

7.1. Vidyaa reserves the right to suspend or terminate your access to any or all Products at its sole discretion, including for violations of these Terms or suspicious activity.

7.2. Upon termination, any remaining AI credits, subscription access, or unused Product entitlements may be forfeited, subject to our Refund Policy and applicable law.

8. Disclaimer of Warranties

8.1. The Service is provided "as-is" without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

8.2. Vidyaa does not guarantee that the Service will be uninterrupted, error-free, or free of harmful components, or that any assessment score, AI output, or exam-readiness prediction will be accurate or complete.

9. Limitation of Liability

9.1. To the maximum extent permitted by law, Vidyaa shall not be liable for any indirect, incidental, or consequential damages arising from your use of the Service, including reliance on assessment results or AI-generated content.

9.2. Vidyaa's total liability for any claim related to the Service will not exceed the amount paid by you for the relevant Product in the six months preceding the claim.

10. Indemnification

10.1. You agree to indemnify and hold harmless Vidyaa, its affiliates, employees, and partners from any claims, damages, or liabilities resulting from your use of the Service or violation of these Terms.

11. Governing Law and Dispute Resolution

11.1. These Terms are governed by and construed in accordance with the laws of Delaware, USA, without regard to conflict-of-law principles.

11.2. Any disputes arising from or related to these Terms shall be resolved through binding arbitration, unless prohibited by applicable law. Nothing in this section limits any non-waivable statutory rights you may have under the laws of your country of residence.
